1. Introduction

1.1 Agreement Overview

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Alifa Edtech Ltd., a company established under the laws of the People’s Republic of China (“Alifa Edtech,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, services, content, and any associated features offered through the Alifa Edtech platform.

1.2 Legal Entity Information

Alifa Edtech Ltd. is a China-based education technology and consultancy company focused on facilitating international school admission placements, coordinating and supporting inter-school study abroad exchange programs, and providing student guardianship services within China.

1.3 Acceptance of Terms

By accessing or using our platform or services in any capacity, you confirm that you have read, understood, and agreed to be bound by these Terms, along with our Privacy Policy and any other applicable agreements referenced herein. If you do not agree to these Terms, you must not use or access the platform or its services. You also affirm that you are not a citizen of a jurisdiction where the use of such services would be unlawful.

1.4 Modifications to the Terms

We reserve the right to amend or update these Terms at any time to reflect changes in law, technology, our services, or for other operational or legal reasons. Notice of material changes will be provided via the platform or by other reasonable means. Continued use of the platform after such changes constitutes your acceptance of the updated Terms.

2. Eligibility and User Categories

2.1 User Eligibility

To use the platform or access any of our services, you must:
  • Be at least 18 years of age and have the legal capacity to enter into binding contracts under applicable law; or
  • Be a minor (aged under 18) with verifiable consent from a parent or legal guardian in accordance with the applicable privacy law and regulations.
We reserve the right to request proof of age or consent at any time.

2.2 User Categories

Alifa Edtech provides services to the following user categories:
  • Parents/Guardians: Individuals acting on behalf of minors to explore educational opportunities, utilize guardianship services, or participate in study abroad exchange programs.
  • Students (Minors): Individuals who are the intended beneficiaries of the educational, scholarship opportunities, guardianship, or exchange services.
  • Educators: Individuals seeking teaching opportunities who may browse and apply for job vacancies listed by international schools on their respective profile pages.
  • International Schools (China): Verified educational institutions listed on the Alifa Edtech platform for the purpose of student recruitment, exchange program participation, and publishing educator job vacancies via their dedicated schools’ profile pages.
  • Sending Schools Abroad: Partner institutions located outside China coordinating their student participation in exchange programs.
  • Third-party service providers: Independently operated service providers that list and promote their study abroad program bundles on the platform for visibility to prospective participants, sending schools, or guardians.

2.3 Parental Consent and Responsibility

For any user under the age of majority (“minor”), a parent or legal guardian must provide informed and explicit consent to the collection and processing of the minor student’s personal data. The parent or guardian also assumes full legal responsibility for the minor’s use of the platform and participation in any services. The platform only processes a minor’s data in scenarios where it is necessary to deliver or support the requested services.

3. Description of Services

Alifa Edtech provides web-based consultancy and support services through its official website and on the ground ‘support system’ when students are here in China. Our core services include the following:

3.1 School Matching Database

We provide access to an extensive online database of over 800+ verified international schools located across various regions in China. Users may:
  • Search and filter schools based on preferences such as curriculum type, location, tuition range, language of instruction, and extracurricular offerings.
  • View detailed school profiles, including tuition fees, accreditation, facilities, and contact information.
  • Use a personalized scoring, ranking, and recommendation system that considers user-defined preferences, such as city, budget, and curriculum, and may suggest alternative locations offering comparable educational value;
  • Create shortlists and initiate direct contact with schools through the platform.
DISCLAIMER: ALIFA EDTECH DOES NOT GUARANTEE ADMISSION OR PLACEMENT IN ANY SCHOOL LISTED ON THE PLATFORM. ALL ADMISSIONS ARE AT THE SOLE DISCRETION OF THE RESPECTIVE INSTITUTIONS.

3.2 Guardianship Services

We offer comprehensive guardianship support for minor students studying in China, available in two service tiers: Basic and Complete. These services may include:
  • Academic performance tracking and progress updates;
  • Social integration and orientation support;
  • Welfare monitoring, health check-ins, and emergency response assistance;
  • Admission process support and documentation handling.
The scope, pricing, and limitations of each guardianship tier are outlined separately at the time of enrollment.

3.3 Study Abroad Exchange Program

The platform operates as a marketplace platform that promotes and facilitates access to study abroad exchange programs offered by independently operated third-party service providers and educational institutions. These programs may include short-term and long term placements, summer and winter camps, language immersion experiences, and other international academic initiatives.The platform’s role is strictly limited to:
  • Listing and advertising program offerings on behalf of verified providers;
  • Social integration and orientation support;
  • Enabling visibility and introductions between sending schools (located outside China), host schools (within China), and prospective participants;
  • Sharing publicly available or provider-submitted program information, including curriculum frameworks (e.g., O-Level, A-Level, IB MYP, IBDP, AP), participation requirements, and logistical overviews.
Alifa Edtech is not a direct service provider, program operator, or contractual party to any exchange program. All educational services, travel arrangements, accommodations, risk management, refund policies, and administrative responsibilities are exclusively handled by the respective third-party provider or host institution.Users engaging with a program do so under the independent terms, conditions, and refund policies set by the provider. These terms will be communicated directly by the provider prior to payment or enrollment.Alifa Edtech may facilitate the collection of program fees on behalf of third-party service providers. Such facilitation is limited solely to payment processing and does not imply control over or responsibility for the underlying services.

4. User Accounts and Responsibilities

4.1 Account Registration

To access certain features of the Alifa Edtech platform, Users may be required to register an account by providing accurate and complete information, including name and contact details. By creating an account, you represent and warrant that all information provided is truthful, current, and complete. You agree to promptly update any changes to your information.

4.2 Account Security and Confidentiality

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree not to share your credentials with any third party or allow unauthorized access to your account. If you suspect any unauthorized use or security breach, you must notify us immediately at [email protected]Alifa Edtech shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.We reserve the right to verify any user account or associated identity at our sole discretion, including but not limited to requests for supporting documentation or institutional affiliation. We may suspend, restrict, or permanently terminate any account that we reasonably believe to be in violation of these Terms of Service or applicable laws. This includes, but is not limited to, fraudulent activity, misrepresentation, unauthorized use of services, or abuse of platform features.

4.3 Prohibited Use

Users agree not to:
  • Use the platform for any unlawful, fraudulent, or unauthorized purpose;
  • Upload or transmit harmful content, including malware, offensive material, or false information;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Use automated scripts, bots, or data harvesting tools without written permission;
  • Engage in any conduct that may interfere with, disrupt, or negatively affect the platform or its Users.
Violation of these restrictions may result in immediate termination of your account and potential legal action.

5. Fees and Payment

5.1 Free and Paid Services

Access to the School Matching Database, basic platform browsing, and other advanced features is provided free of charge. However, certain services, including Guardianship Services and Study Abroad Exchange Program, are subject to fees. Detailed pricing and service descriptions will be provided at the point of engagement for each paid service. In addition, school tuition fees shall be paid directly to the respective school and not to Alifa Edtech. Alifa Edtech may facilitate the transfer but does not directly accept your children’s school fees on its platform.All pricing is displayed in United States Dollars (USD) or other designated currencies and may vary depending on service level, program duration, and specific user needs.

5.2 Payment Methods

Payments must be made through approved channels, which may include but are not limited to:
  • PayPal
  • Airwallex
  • Stripe
  • Other secure payment gateways or bank transfers designated by Alifa Edtech
You agree to provide current, complete, and accurate billing information and authorize Alifa Edtech to charge applicable fees using the payment method provided.

5.3 Refunds and Cancellations

Refund policies vary depending on the service and are governed by the applicable service agreement or enrollment confirmation. Prior to making any payment, you will receive the specific refund and cancellation policy relevant to the selected service.For example:
  • If you are enrolling in Guardianship Services or a Study Abroad Exchange Program, the applicable refund and cancellation terms will be provided in advance as part of the service agreement or Terms of Service.
  • Where tuition payments are made directly to a partner school, the school will supply its own refund and cancellation policy, which will be shared with you before any payment is processed.
Unless explicitly stated otherwise:
  • Fees for completed services are non-refundable;
  • Partial refunds may be issued for early cancellations, subject to administrative deductions;
  • No refunds will be provided for missed or unused services due to user fault or non-compliance.
You are encouraged to carefully review the terms provided for each paid service prior to making any payment. Users are solely responsible for reviewing and accepting refund terms of each service provider before payment. Alifa Edtech will not mediate disputes.

5.4 Taxes and Withholdings

Users are responsible for any taxes, levies, or duties applicable under local or international law arising from their transactions on the platform. Alifa Edtech may charge applicable taxes where required by law and will issue payment receipts accordingly.

6. Data Protection and Privacy

6.1 Compliance with Privacy Regulations

Alifa Edtech is committed to protecting the personal data of its Users, including minors, in full compliance with the Personal Information Protection Law of the People’s Republic of China (PIPL) and other applicable data protection laws.

6.2 Reference to Privacy Policy

All data collection, use, storage, and disclosure practices are governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you acknowledge that you have read and understood the Privacy Policy and consent to the data practices outlined therein.

6.3 Consent for Minor Data

Where personal data of minors is involved, parents or legal guardians must provide explicit, informed consent in accordance with applicable legal requirements. We reserve the right to request verification of such consent at any time and to suspend services if lawful consent is not maintained.

7. Acceptable Use Policy

7.1 General Use Standards

You agree to use the Alifa Edtech platform and services solely for lawful, educational, and personal or institutional purposes, in accordance with these Terms and all applicable laws and regulations.

7.2 Prohibited Conduct

Users must not:
  • Use the platform to engage in any fraudulent, misleading, or unlawful activity;
  • Upload, distribute, or transmit any material that is defamatory, abusive, obscene, harassing, or otherwise objectionable;
  • Attempt to gain unauthorized access to any portion of the platform, accounts, or systems;
  • Reverse engineer, decompile, or otherwise attempt to derive source code or platform logic;
  • Misuse the school matching system to send spam, advertisements, or unsolicited communications to institutions;
  • Post or transmit false academic or personal data, including forged transcripts, falsified profiles, or misleading information;
  • Violate the academic integrity of any program by facilitating or engaging in cheating, plagiarism, or impersonation;
  • Engage in cyberbullying, harassment, or sharing of inappropriate content, especially where minors are involved.

7.3 User-Generated Content

By submitting or posting any content on the platform, including without limitation messages, posts, feedback, and comments, you:
  • Represent that you have the legal right to share such content;
  • Grant Alifa Edtech a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of providing services;
  • Acknowledge that we reserve the right to review, remove, or restrict access to any content deemed to violate these Terms or applicable law.

7.4 Enforcement

We reserve the right to monitor user activity and investigate any suspected violations of this Acceptable Use Policy. Breach of this policy may result in suspension or termination of your account, removal of content, reporting to appropriate authorities, and pursuit of legal remedies.

8. Intellectual Property

8.1 Ownership of Content

All intellectual property rights in and to the Alifa Edtech platform, including but not limited to its:
  • Databases,
  • Algorithms (including the proprietary recommendation engine),
  • Web architecture,
  • User interfaces,
  • Written content,
  • Images,
  • Software, and
  • Proprietary school rating scoring and school matching systems
are the exclusive property of Alifa Edtech Ltd., or its licensors, and are protected by applicable copyright, trademark, and other intellectual property laws.

8.2 License to Use Platform

Alifa Edtech grants users a limited, non-exclusive, non-transferable, and revocable license to access and use the platform strictly in accordance with these Terms and for personal or institutional educational purposes only.You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the platform without our express prior written consent.

8.3 User Content and Submissions

Any content uploaded, submitted, or shared by users (e.g., application materials, academic records, school data) remains the intellectual property of the respective user or institution. By providing such content, you grant Alifa Edtech the rights necessary to store, process, and share the content to facilitate services, as outlined in our Privacy Policy.You may not upload or share content that:
  • Infringes upon the intellectual property rights of others;
  • Is subject to third-party licensing restrictions;
  • Violates data protection laws or confidentiality obligations.

8.4 Third-Party Content

The platform may include information, logos, or materials supplied by partner institutions or third parties. All such content remains the intellectual property of the respective owners. Use of such content is restricted to informational or permitted purposes only and may not be copied or redistributed without the owner’s permission.

9. Disclaimers and Limitations of Liability

9.1 Platform Availability and Technical Issues

While we endeavor to ensure the reliability and availability of our platform, we do not warrant that the platform will operate uninterrupted or error-free. Temporary outages, maintenance periods, or unforeseen technical failures may occur. Alifa Edtech is not liable for any loss or inconvenience resulting from such occurrences.

9.2 School Profile information

The Alifa Edtech platform includes institution profiles and related information provided by or about verified international schools. This may include, but is not limited to, school names, contact details, website URLs, and social media links (“School Profile Information”).While Alifa Edtech undertakes reasonable efforts to verify the accuracy and functionality of School Profile Information at the time of initial listing, we do not warrant the ongoing accuracy, reliability, completeness, or availability of such content. Due to the independently maintained nature of third-party sources, certain information may become outdated, inaccurate, or inaccessible over time.Users acknowledge and agree that Alifa Edtech shall not be held liable for any errors, omissions, or unavailability of School Profile Information. Users are solely responsible for independently verifying any school-related information prior to making decisions or engaging with the institution.

9.3 No Liability for User Actions

Alifa Edtech is not responsible for:
  • The actions, representations, or services of any listed international schools or partner institutions;
  • Misuse of the platform by users;
  • Inaccurate or misleading information submitted by users or schools.

9.4 Educational Outcomes Disclaimer

Alifa Edtech does not and cannot guarantee any specific educational or admissions outcomes. We are not involved in the admissions process or any related decision-making, which remains solely under the authority of the respective institutions. Any advice or recommendations provided through our services are for informational purposes only and should not be construed as binding commitments or guarantees.

9.5 University Pathways Disclaimer

Alifa Edtech does not guarantee admission to any specific university, including top-tier institutions, as part of its services. University placements are determined solely by the institutions based on their own independent criteria.

9.6 Scholarship Disclaimer

Alifa Edtech does not guarantee the award of school scholarships in China or elsewhere. Scholarship eligibility and outcomes depend entirely on the student’s academic performance, merit, and the criteria established by the offering institution.

9.7 Guardianship Services and Welfare Limitations

Our guardianship services are subject to clearly defined scopes of support, outlined in individual service agreements. While we prioritize student welfare, we do not assume liability for events beyond our reasonable control, including natural disasters, public health emergencies, or third-party actions.We also disclaim liability for any injuries, illnesses, or incidents that occur outside the scope of our guardianship service or without our direct knowledge and control.

9.8 Limitation of Liability

To the fullest extent permitted by law, Alifa Edtech and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, whether incurred directly or indirectly, arising from:
  • Your use or inability to use the platform;
  • Errors, omissions, or inaccuracies in any content;
  • Acts or omissions of schools, guardians, or external partners;
  • Any other matter relating to the platform or services.
In no event shall our total liability to you for all claims exceed the amount paid by you to Alifa Edtech for the specific service in question within the twelve (12) months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify, defend, and hold harmless Alifa Edtech Ltd., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
  • Your use of or access to the platform or services;
  • Any content you submit, post, or transmit via the platform;
  • Your violation of these Terms, applicable law, or the rights of any third party;
  • Misuse or unauthorized access of your account by any person using your login credentials.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully with us in asserting available defenses.

11. Cross-Border Data and International Use

11.1 Cross-Border Data Transfers

If you are located outside the People’s Republic of China and engage with Alifa Education services, please be aware that your data may be transferred to and processed within China. In accordance with the Personal Information Protection Law (PIPL) and Cybersecurity Law, such transfers are subject to appropriate safeguards.By using our services, you consent to the transfer of your information to jurisdictions that may have different data protection standards than your country of residence.

11.2 International Service Limitations

Alifa Edtech operates in compliance with Chinese law. Services provided to international users or institutions must also comply with applicable foreign regulations. However, we make no representation that our services are appropriate, lawful, or available in all jurisdictions.Users accessing the platform from outside China do so at their own initiative and are responsible for compliance with local laws.

12. Amendments and Updates

12.1 Right to Modify Terms

We reserve the right to revise, modify, or update these Terms of Service at any time to reflect legal, regulatory, operational, or technological changes. All amendments will become effective upon posting on the platform or as otherwise communicated to you.

12.2 Notification and Continued Use

Where legally required, we will provide advance notice of material changes. Your continued use of the platform following any modification constitutes your acceptance of the revised Terms.It is your responsibility to review these Terms periodically to remain informed of any changes.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising from or relating to them shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to conflict of law principles.

13.2 Jurisdiction

You agree that all disputes or claims shall be submitted to the competent courts in Beijing, China, unless otherwise mandated by mandatory provisions of local law.

13.3 Dispute Resolution

Before initiating legal proceedings, the parties agree to attempt in good faith to resolve any dispute through good faith negotiation or, where appropriate, mediation. If the dispute cannot be resolved through these means, and subject to mutual consent, the matter may be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its applicable rules. The arbitration shall be conducted in China and the language of arbitration shall be English or Chinese, as agreed by the parties.

15. Miscellaneous

15.1 Entire Agreement

These Terms, along with our Privacy Policy and any additional agreements or policies referenced herein, constitute the entire agreement between you and Alifa Edtech and supersede all prior or contemporaneous understandings.

15.2 Severability

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be deemed severable and will not affect the validity and enforceability of any remaining provisions.

15.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Any failure to assert a right or provision shall not constitute a waiver of such right.

15.4 Force Majeure

We shall not be held liable for any delay or failure to perform our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, war, government actions, public health emergencies, or internet outages.

15.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Alifa Edtech. We may assign or transfer our rights without restriction in connection with a merger, acquisition, or sale of assets.
